Statutory registers are the official record of a company's ownership and management. They are the first thing an auditor, buyer or regulator asks to see — and the last thing most companies keep up to date.
Compliance note — statutory registers
The Companies and Other Business Entities Act [Chapter 24:31] requires companies to keep registers including a register of members, a register of directors and secretaries, and records of beneficial owners, together with minutes of meetings and resolutions, at the registered office or another notified place, available for inspection as the Act provides.

The core registers
Register of members
Every shareholder, their address, the class and number of shares they hold, and the dates they became and ceased to be members.
Register of directors and secretaries
Each director and the company secretary, with their particulars and dates of appointment and resignation.
Directors' shareholdings
The shares each director holds in the company.
Beneficial owners
The natural persons who ultimately own or control the company — see our beneficial ownership guide.
Minutes and resolutions
Board and members' meetings and written resolutions.
